These Terms & Conditions apply to the Prime HG Ruth's Chris website and mobile application (together, the "Platform"). By using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Permitted Use

You may use the Platform only for lawful purposes and in a way that does not harm Prime HG, Ruth's Chris, or other users. You may not interfere with the Platform, attempt unauthorized access, or misuse any content, features, or services.

2. Eligibility

You must be at least 18 years old, or the age of majority in your state, to create an account, make a purchase, place an order, or book a reservation through the Platform.

3. Reservations, Orders, and Purchases

Reservations, orders, gift card purchases, private dining requests, event bookings, and other transactions made through the Platform are subject to availability, confirmation, and acceptance. We may refuse, cancel, or limit any transaction for reasons including errors, suspected fraud, or unavailability.

4. Pricing and Payment

Prices, menu items, promotions, fees, and availability may change without notice. By making a purchase, you agree to provide accurate billing and payment information. Taxes and other charges may apply, including applicable sales tax, service fees, gratuity, delivery fees, and other charges where applicable.

5. Accounts

If you create an account, you are responsible for keeping your login information secure and for all activity under your account. You must notify us promptly at loyalty@primehg.com if you believe your account has been used without authorization.

6. Promotions, Gift Cards, and Rewards

Promotions, discounts, gift cards, rewards, and loyalty programs are subject to additional terms, conditions, expiration rules, and eligibility requirements. We may change or discontinue any promotion or program at any time.

7. Mobile App Terms

If you use our mobile app, you are responsible for maintaining a compatible device, software, and internet access. Standard carrier and data charges may apply. The app may download updates, upgrades, or patches automatically, and your continued use means you accept those changes.

8. Text Messages and Notifications

If you opt in to receive SMS, push notifications, or other messages, you consent to receive communications from us at the contact information you provide. Message and data rates may apply. Message frequency may vary. You may opt out by following the instructions provided in the message or by contacting us at loyalty@primehg.com.

If the Platform allows the purchase, ordering, or promotion of alcoholic beverages or age-restricted products, you represent that you are of legal age in your jurisdiction. We reserve the right to require valid identification and to refuse service, delivery, or pickup where permitted by law.

The Platform may rely on third-party providers for reservations, payment processing, online ordering, delivery, app hosting, analytics, or marketing. We are not responsible for the services, content, or policies of third parties. Your use of those services may also be subject to their separate terms.

All content on the Platform, including text, images, branding, menus, logos, graphics, design, and software, is owned by or licensed to Prime HG and is protected by law. You may not copy, reproduce, distribute, modify, republish, or exploit Platform content without prior written permission.

13. User Content and Feedback

If you submit reviews, feedback, photos, comments, or suggestions, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, display, and share that content in connection with our business, subject to applicable law. You agree not to submit content that is unlawful, false, infringing, offensive, or harmful.

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we do not guarantee that the Platform will be uninterrupted, error-free, secure, or accurate.

16. Limitation of Liability

To the fullest extent permitted by law, Prime HG and its affiliates, officers, employees, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. If applicable law allows, our total liability for any claim will not exceed one hundred dollars ($100).

You agree to defend, indemnify, and hold harmless Prime HG and its affiliates from claims, damages, liabilities, costs, and expenses arising from your misuse of the Platform, your violation of these Terms, or your violation of any law or third-party rights.

We may suspend or terminate your access to the Platform at any time if we believe you violated these Terms, applicable law, or the rights of others.

19. Governing Law and Venue

These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles. Any dispute relating to these Terms or the Platform must be brought in the state or federal courts located in Marion County Indiana, unless applicable law requires otherwise.

20. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted on the Platform. Your continued use of the Platform after changes are posted means you accept the revised Terms.
